1. Acceptance of Terms

These Terms of Service ("Terms") form an agreement between you ("you," "your," or "Customer") and Bluemix 360 ("Bluemix 360," "we," "us," or "our"). They govern your access to and use of the Bluemix 360 platform, website, applications, features, and related services (collectively, the "Service").

If you do not agree to these Terms, you must not access or use the Service.

2. Our Service

Bluemix 360 is a business management platform designed to help organizations manage and connect business operations through centralized tools, workflows, information, and reporting.

We may introduce, modify, improve, suspend, or discontinue features from time to time. Where practical, we will provide reasonable notice of material changes that affect your use of the Service.

3. Accounts and Access

You may need an account to use certain features. You are responsible for providing accurate information and keeping your login credentials secure.

• You are responsible for activity performed through your account.
• You must promptly notify us of suspected unauthorized access.
• You may not share credentials in a way that bypasses account or user limits.
• Account administrators are responsible for managing user permissions within their organization.

4. Acceptable Use

You agree to use Bluemix 360 only for lawful business purposes and in accordance with these Terms. You must not:

• Use the Service to violate applicable laws or regulations.
• Attempt to gain unauthorized access to the Service or another user's account.
• Interfere with, disrupt, or place unreasonable load on the Service.
• Upload malicious code, malware, or harmful content.
• Reverse engineer or attempt to extract source code except where applicable law expressly permits it.
• Use the Service to infringe another party's intellectual property, privacy, or other rights.

5. Your Data

You retain ownership of the business information and content you submit to Bluemix 360 ("Customer Data"). You grant us the limited rights necessary to host, process, transmit, secure, and provide the Service.

You are responsible for ensuring that you have the appropriate rights and permissions to provide Customer Data to us and to use it through the Service. Our handling of personal information is also governed by our Privacy Policy.

6. Subscription, Billing and Fees

Some Bluemix 360 features may require a paid subscription. Pricing, billing intervals, plan limits, and included features will be presented at the time of purchase or in your applicable service agreement.

Unless otherwise stated, fees are non-refundable except where required by applicable law or expressly agreed in writing. Taxes and applicable government charges may be added where required.

7. Service Availability

Some Bluemix 360 features may require a paid subscription. Pricing, billing intervals, plan limits, and included features will be presented at the time of purchase or in your applicable service agreement.

Unless otherwise stated, fees are non-refundable except where required by applicable law or expressly agreed in writing. Taxes and applicable government charges may be added where required.

8. Intellectual Property

The Service, including its software, interface, branding, designs, documentation, and underlying technology, is owned by or licensed to Bluemix 360 and is protected by applicable intellectual property laws.

These Terms do not transfer ownership of the Service or Bluemix 360 intellectual property to you. You receive only the limited right to use the Service during your authorized subscription or access period.

9. Third-Party Services

Bluemix 360 may integrate with or rely on third-party services, platforms, payment providers, hosting providers, or other technologies. Your use of third-party services may be subject to their own terms and privacy policies.

10. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as available" and "as is" basis. Bluemix 360 does not warrant that the Service will always be uninterrupted, secure, or completely free of errors.

Bluemix 360 is a business software platform. You remain responsible for your business decisions, operational processes, legal compliance, financial decisions, and the accuracy of information entered into the Service.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Bluemix 360 and its affiliates, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Service.

Any liability limitations and exclusions will apply only to the extent permitted by applicable law.

12. Suspension and Termination

We may suspend or terminate access to the Service where reasonably necessary, including for serious or repeated violations of these Terms, non-payment, security risks, fraud, or unlawful use.

You may stop using the Service at any time. If you have a paid subscription, cancellation and account closure may also be subject to the applicable subscription terms.

13. Changes to These Terms

We may update these Terms as our Service, business practices, or legal requirements change. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Service after an update means you accept the revised Terms, to the extent permitted by law.

14. Governing Law

These Terms will be governed by the laws applicable to the agreement between you and Bluemix 360, without regard to conflict-of-law principles, unless a different governing law is required by applicable law or stated in a separate written agreement.
